Rosa Huang

Rosa has amassed over a decade of post-qualification experience across China, Singapore and the UK. Since qualifying as a solicitor in England and Wales in 2020, she has undertaken corporate and commercial roles at well-established City of London law firms.

Fluent in Mandarin and English, Rosa advises domestic and international clients on an array of corporate and commercial matters, including cross-border transactions, M&A, joint ventures, commercial contracting, regulatory compliance, and corporate governance.

Prior to relocating to the UK, she held senior in-house legal roles, including General Counsel and Senior Legal Counsel, at multinational corporations, a listed company, and joint-venture enterprises with high-profile international partners, based in mainland China, including Beijing, and in Singapore.

Representative Experience

Commercial

• Advised a Chinese state-owned bank on UK law-governed commercial agreements with Airbus and Rolls-Royce in connection with an aircraft and engine financing debt restructuring for a China-based airline.
• Advised a major multinational consumer products supplier on complex commercial agreements with Disney and Universal Studios covering a range of consumer products, including toys and baby clothing.
• Provided ongoing day-to-day legal support to a professional services firm, including developing a comprehensive client engagement framework and terms of business, advising on commercial contracts and regulatory compliance, and providing general legal and risk management advice.
• Advised on the drafting, review and negotiation of a range of commercial and IT contracts, including agreements with customers, suppliers and other business partners.
• As Head of Legal for a Singapore-listed company and Mitsui joint venture, provided ongoing legal and commercial support for the operation of more than 30 water treatment plants.

Corporate

• • Assisted a UK-listed company on due diligence and transaction documentation for the acquisition of a multinational data and e-commerce group with operations in Canada, China and other jurisdictions.
  • Advised on cross-border acquisitions of two UK companies in the consumer products manufacturing sector, including transaction structuring and preparation of related legal documents.
  • Conducted legal due diligence on a UK subsidiary on behalf of its overseas parent company, providing legal analysis and advice in connection with its listing on the Hong Kong Stock Exchange.
  • Advised on the capital reduction and demerger of a UK group involving fashion and property businesses.
  • Advised a UK group company on its investment in a real estate business, including investment structuring, share sale agreements, shareholders’ agreements and related documents.
