Rosa is a Solicitor in the Corporate and Commercial Department, dual-qualified in England and Wales and China. She holds a Master of Laws from one of China’s top universities. Rosa has amassed over a decade of post-qualification experience across China, Singapore and the UK. Since qualifying as a solicitor in England and Wales in 2020, she has undertaken corporate and commercial roles at well-established City of London law firms. Fluent in Mandarin and English, Rosa advises domestic and international clients on an array of corporate and commercial matters, including cross-border transactions, M&A, joint ventures, commercial contracting, regulatory compliance, and corporate governance. Prior to relocating to the UK, she held senior in-house legal roles, including General Counsel and Senior Legal Counsel, at multinational corporations, a listed company, and joint-venture enterprises with high-profile international partners, based in mainland China, including Beijing, and in Singapore. Assisted a UK-listed company on due diligence and transaction documentation for the acquisition of a multinational data and e-commerce group with operations in Canada, China, and other jurisdictions. Advised on cross-border acquisitions of two UK companies in consumer products manufacturing, including transaction structuring and preparation of related legal documents. Conducted legal due diligence on a UK subsidiary on behalf of its overseas parent company, providing legal analysis and advice for its listing on the Hong Kong Stock Exchange. Advised on capital reduction demerger of a UK group involving fashion and property businesses. Advised a Chinese state-owned bank on contracts governed by UK law, related to a complex aircraft and engine financing debt restructuring for a China-based airline, involving Airbus and Rolls-Royce. Advised a UK group company on investment in a real estate business, including investment structure, share sale agreements, shareholders’ agreements, and related documents. Advised a major multinational toy supplier on complex commercial agreements with Disney and Universal Studios. Provided UK legal advice to state-owned and multinational clients on investment, compliance, and governance. As Head of Legal for a Singapore-listed company and Mitsui joint venture, provided legal support for 30+ water treatment plants.
